  • Participation in Meetings: Attend scheduled meetings to discuss project updates and address any issues that arise.
  • Adhere to Intellectual Property (IP) Usage: Use any intellectual property provided only within the agreed scope of the contract.
  • Make Timely Payments: Ensure that all invoices are paid on time as per the terms of the agreement.
  • Respectful Interaction: Treat our team with respect and professionalism throughout the engagement.
  • Provide Honest Feedback: Share candid feedback during and after the project to help us improve our services.

3. Intellectual Property and Confidentiality

  • Client Ownership: Clients retain ownership of the code and applications developed for them.
  • Our Ownership: Pinnacle Ridge Cloud Solutions retains ownership of any reusable code or software developed independently and used across multiple clients.
  • Reuse Clause: Clients may opt out of the use of any reusable solutions by requesting that this be specifyed this in out contract. In such cases, custom code will be developed for their exclusive use.
  • Mutual Confidentiality: Both parties agree to keep all shared information confidential, except for:
    • Information already in the public domain.
    • Information required to be disclosed by law.
    • Pre-existing knowledge that was known prior to the engagement.

4. Liability and Disclaimers

  • General Liability: Pinnacle Ridge Cloud Solutions is not liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising from the use or inability to use our services.
  • Specific Damages: We are not liable for any loss of profits, data, or other intangible losses resulting from the use of our services.
  • Maximum Liability: If applicable, our maximum liability is limited to the total amount paid by the client for the services rendered.
  • As Is and As Available: All services are provided on an "as is" and "as available" basis without warranties of any kind.
  • No Warranty of Error-Free Operation: While we take all necessary actions to address errors and security issues, we do not guarantee uninterrupted, timely, or error-free operation of our services.
  • No Implied Warranties: All implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement, are disclaimed.
  • Third-Party Links: We are not responsible for the content or services of third-party websites linked to from our website. The inclusion of such links does not imply endorsement.
